According to the Complaint, during the Class Period, Defendants made false and/or misleading statements and/or failed to disclose that: Aetna and its senior executives tried to influence Aetna's participation in the Public Exchanges for positive treatment from regulators regarding the Humana acquisition; that the Company threatened to cut back its participation in public health insurance exchanges if the Department of Justice ("DOJ") tried to block the merger; that Aetna withdraw from some public health insurance exchanges to complete its threat of leaving the marketplace once the DOJ filed suit to improve its litigation; that Aetna withdrew from public health insurance exchanges that were profitable for Aetna; and that as a result, Defendants' statements regarding Aetna's business, operations, and prospects were false and misleading and/or lacked a reasonable basis.

When this information was released to the public, the value of Aetna stock fell, causing investors severe harm.
