Eastman Kodak to Reassign Compliance Officer Role

Eastman Kodak, the once-legendary photo company that floundered into bankruptcy last month, announced that Patrick Sheller, the company's recently named general counsel, also has been named senior vice president and chief administrative officer. His responsibilities as chief compliance officer will be reassigned.

As chief administrative officer, Sheller will be responsible for the day-to-day oversight of certain corporate functions, including legal, human resources, worldwide information systems, communications & public affairs, and health, safety & environment. In his capacity as chief administrative officer, Sheller reports to Laura Quatela, who was recently named president and chief operating officer of Kodak. As general counsel, Sheller reports to Chairman and Chief Executive Officer Antonio Perez.

Susan Wylie, currently assistant general counsel and director of compensation, benefits and employment law, has been additionally elected by the board of directors as assistant secretary. Jack Bailey, currently senior counsel, governance risk and compliance within the company's legal department, has also been elected assistant secretary.

JP Morgan Chase Names New CRO

JP Morgan Chase in an internal memo announced a reshuffling of its management team.

Among the moves, Barry Zubrow, who had been chief risk officer since 2007, will take on the new role as head of corporate and regulatory affairs. Zubrow will be responsible for all regulatory relationships and will continue to advise Chief Executive Officer Jamie Dimon on risk issues. He will also retain his position on all risk committees.

John Hogan assumes chief risk officer role. Hogan has been head of risk for the investment banking division for the past five years.

HSBC Appoints Chief Legal Officer

London-based HSBC Holdings, the parent company of HSBC, has appointed Stuart Levey as chief legal officer. He will be based in London and report to Stuart Gulliver, group chief executive.

Richard Bennett, group managing director and group general counsel, will work with Levey during a transition period and retire from HSBC after more than 33 years of service at the end of 2012. Bennett will continue as a part-time adviser to the group chief executive after retirement.

Levey served as the first under secretary for terrorism and financial intelligence in the U.S. Department of the Treasury from July 2004 to February 2011 under Presidents Bush and Obama. Prior to his Treasury appointment, he was the principal associate deputy attorney general at the Department of Justice. Prior to joining the Justice Department in 2001, Levey spent 11 years in private practice in Washington.

Tim Hortons General Counsel Departs

Canada-based restaurant chain Tim Hortons announced the departure of General Counsel Scott Toop, effective Jan. 13.

Toop, who joined Tim Hortons in August 2009, sought to return to the United States where he is a citizen. He will be commencing a new career opportunity, the company said.

The company said it is searching for a replacement for Toop.

Halliburton Names New Board Member

Halliburton, a provider of products and services to the energy industry, has named Murry Gerber to the company's board of directors. The appointment is effective Jan. 10, and Gerber will be confirmed by the stockholders at the annual meeting in May 2012.

Gerber became CEO of energy company EQT Corporation in 1998 and was elected chairman in 2000. He served as chairman, CEO, and president until 2007, at which time he became chairman and CEO. He retired as CEO of EQT Corporation in April 2010 and remained as executive chairman until May 2011. He recently resigned from the EQT board of directors.

Photronics Names New Board Member

Photronics, a supplier of imaging technology solutions for the global electronics industry, has appointed Liang-Choo Hsia to serve on the company's board of directors. Hsia, formerly senior technical advisor to Global Foundries, is filling the board seat that until December 2010 was held by Willem Maris, who passed away.

Hsia formerly was senior vice president and senior technical adviser at Global Foundries, which he joined as a result of the acquisition of Chartered Semiconductor Manufacturing. He joined Chartered after serving for three years as director of technology development of United Microelectronics Corporation in Taiwan. Prior to that, he spent over a decade with IBM as an advisory scientist in various divisions.

Dearborn National Names General Counsel, Corporate Secretary

Insurance product provider Dearborn National has appointed Will Barnes as vice president, general counsel, and corporate secretary.

As a member of the senior management team, Barnes' responsibilities include managing and directing the legal, regulatory, and industry relationships for the Dearborn National brand companies and their subsidiary and affiliated operations. In addition, he will serve as corporate secretary and be responsible for board of director functions.

Prior to joining Dearborn National, Barnes was general counsel of Sterling Life Insurance Company, where he was engaged in all major decisions relevant to strategy, operations, marketing, and risk management. Previously, he was associate general counsel with WellPoint (Anthem Blue Cross and Blue Shield), where he advised on all aspects of health insurance operations, as well as transactions and compliance.

Cedar Fair Promotes VP of Corporate Tax to Chief Accounting Officer

Amusement resort operator Cedar Fair has promoted David Hoffman to chief accounting officer.

Hoffman joined Cedar Fair in 2006 as the vice president of corporate tax. In 2010, Hoffman took on the additional responsibility of vice president of finance, leading the company's tax and treasury functions. Prior to joining Cedar Fair, he served as a senior tax consultant with Ernst & Young.

News Corp.Appoints Group General Counsel

News Corp. has appointed Gerson Zweifach, a partner at Williams & Connolly, to group general counsel, effective Feb. 1. Zweifach will become a senior executive vice president and will report to Chairman and Chief Executive Officer Rupert Murdoch.

In his more than three decades at Williams & Connolly, Zweifach's litigation practice has covered a wide variety of substantive areas including significant media and first amendment cases, as well as patent, antitrust, and securities matters. He has handled a number of high-profile cases as both plaintiff's and defendant's counsel in courts throughout the United States, including representing Richard Grasso in Spitzer v. Grasso in the New York state courts.

DJO Global Names Two New Board Chairs

DJO Global, a global provider of medical device solutions, has elected Mike Zafirovski as a member of the DJO Global Board, and as non-executive chairman of the board. Zafirovski will succeed Les Cross as chairman, who will remain a board member.

Zafirovski is a senior advisor to the Blackstone Group and also serves on the boards of directors of the Boeing and Apria Healthcare Services. Previously, Zafirovski served as director, president, and chief executive officer of Nortel Networks from 2005 to 2009 and held several positions, including director, president, and chief operating officer of Motorola from 2000 to 2005. Prior to joining Motorola, Zafirovski spent nearly 25 years with General Electric, where he served in management positions.
