CPLP Capital Product Partners announces offering of 5,800,000 common units and intention to acquire Mr Tanker M/T Atrotos (9.44 +0.20)

The co announces that it plans to offer 5,800,000 common units representing limited partnership interests in a public offering. The Partnership expects to grant the underwriters a 30-day option to purchase an additional 870,000 common units to cover over-allotments, if any. The Partnership expects to use the net proceeds from the public offering to acquire the M/T Atrotos (renamed M/T El Pipila), a medium range product tanker vessel, from its sponsor Capital Maritime & Trading (Capital Maritime) and for general corporate expenses. The Partnership intends, subject to the successful completion of the offering, to acquire the M/T Atrotos from Capital Maritime for a purchase price of $43 million, which will be funded by the proceeds from the offering. The M/T Atrotos is a 48,000 dwt, Ice Class 1A, chemical/product tanker built in 2007 at Hyundai MIPO Dockyard Co., Ltd. in South Korea. The vessel has been chartered to Petroleos Mexicanos (PEMEX), the state-owned Mexican petroleum company, through Arrendadora Ocean Mexicana, S.A. de C.V., under a charter expected to expire in March 2014. The net base rate under the charter is $19,900 per day. The vessel's operating expenses are fixed until the expiration of the charter at a daily rate of $3,575.

SPY Trading volume analysis with charts-- Light trading volume still continues to persist as the indices trade near the flatline -Technical-

Both primary trading exchanges continue to post relatively light trading volume, a theme that has persisted since last week. With the major indices posting mixed results and churning right around the flatline much of the session today, larger market participants like mutual funds & institutions remain on the sidelines as we lack clear direction at this point. Additionally, the COMPQ has been up the last six out of seven sessions, while the RUT has been up eight sessions in a row.

The clear indecisiveness is also seen in the market internals as breadth is barely positive while TRIN reading on both NYSE & NASDAQ hover right near the neutral line.

As of 2:30p.m. ET, nearly 564M shares have traded on NYSE vs. Friday's 717M share tally, while over on NASDAQ, 1.3B shares have turned ove vs. 1.46B.

HAE Haemonetics cleared by FDA to collect 2RBC from more female donors (54.25 +0.34)

FDA cleared the Haemonetics (HAE) 510(k) for its expanded nomogram to collect two Red Blood Cells on the Cymbal Automated Blood Collection System from female donors who are at least 150 pounds and are 63 inches in height. The Cymbal is a small, portable, battery operated instrument that automates blood collection from volunteer donors, improving process control and helping alleviate blood shortages. This expanded nomogram is identical to the FDA cleared claim for Haemonetics' MCS+ automated system to collect red cells. Prior to this new approval, donors utilizing the Cymbal technology had to be 150 pounds and 65 inches. This approval allows blood collectors to expand utilization of the Cymbal technology to 3-6% more female donors supporting the blood center's abilities to optimize donor collections.

Both primary trading exchanges are posting trading volumes mostly on par with last week's relatively light totals through the first 2.5 hours. With the major indices drifting listlessly on either side of unchanged through much of the session, direction and conviction remains absent without mutual fund and institutional participation. Relative weakness remains in the COMPQ & NDX 100 while some relative strength is noted in the RUT and TRAN indices thus far.

The Retail ETF (XRT) proved unable to take out its Oct high during the Jan upside extension which was a near term red flag for the market in general (positive sign last March as it did not confirm new market lows). AMCS AMICAS: Merge Healthcare makes fully financed offer to purchase AMICAS for $6.05 cash per share (5.63 +0.26)

Merge Healthcare (MRGE) announced its pending $6.05 cash per share offer for AMICAS (AMCS). Merge's proposal, for an aggregate of $248 million, represents a 13% premium to the previously-announced offer for AMICAS from a newly-formed affiliate of Thoma Bravo for $5.35 cash per share. Merge's current offer follows its offer of $6.00 cash per share that was made during the "go-shop" period contemplated by AMICAS' merger agreement with Thoma Bravo. Last week, Merge intervened in Massachusetts litigation challenging the adequacy of AMICAS' disclosures relating to this transaction, as well as the process by which its proposals have been considered by the AMICAS Board of Directors. Merge has received a signed bridge financing commitment from Morgan Stanley to provide $200 million of debt financing, and is subject only to standard and customary conditions. Based on that commitment and available cash, including $40 million of pre-funded equity investments from mezzanine investors, Merge has proposed to commence a $6.05 cash per share tender offer for all AMICAS shares and to close the acquisition as quickly as possible thereafter.

Moody's says US commercial real estate prices increase 4.1% in December

US commercial real estate prices as measured by Moody's/REAL Commercial Property Price Indices (CPPI) increased for the second month in a row in December, rising 4.1%. It was the largest month-over-month increase in the nine year history of the CPPI and followed a small, 1% gain in November. The volume of transactions also rose in December, as is typical for the end of the year. Overall, 716 transactions totaling $9.0 billion were recorded in the month. Moody's is uncertain whether the price increases represent passing the bottom of the market or are only the volatility of a market in transition. "Although we are unable to conclude that the bottom to the commercial real estate market is here, we do believe that the period of large price declines is over," says Moody's Managing Director Nick Levidy. "We will need to see data from the first few months of 2010 to develop a better picture of where things stand." As of the end of December, prices are down 29.2% from a year ago and 39.8% from two years ago. They are 40.8% below their peak values.

Sohu.com (SOHU 50.33 -0.05) saw some early morning strength following a rumor Baidu.com (BIDU 506.31 +6.16) could be interested in the co. SOHU shares, however, could not hold on to their gains. Commercial Metals (CMC 16.78 +1.69) is trading up 11% today. There was chatter the co could be seeing interest from Nucor (NUE 43.91 -0.45) or Gerdau Ameristeel (GNA 7.73 -0.01). As mentioned before, while many rumors circulate during the day, and the validity of the source of these rumors can be questionable the speculation may increase volatility in the near term

A Agilent wins HPLC columns trade secrets case against Advanced Materials Technology (30.97 -0.23)

Co announced a favorable decision in its trade secrets and breach of contract case against Advanced Materials Technology and three of its employees in the Delaware Court of Chancery. Agilent filed the lawsuit in January 2008 to protect confidential and proprietary information relating to its high-performance liquid chromatography (HPLC) technology. The decision in favor of Agilent found that the individual defendants, members of AMAT's senior management team, breached their employment contracts with Agilent by removing Agilent property without permission, and used Agilent confidential information to benefit AMAT. In particular, the court ruled that AMAT illegally used Agilent trade secrets and confidential information in developing its Halo HPLC columns.

Obama Medicare Tax Details: Broaden the Medicare Hospital Insurance (HI) Tax Base for High-Income Taxpayers

"Under current law, people who earn a salary pay the Medicare HI tax on their earned income, but those who have substantial unearned income do not, raising issues of fairness. The House bill includes a 5.4% surcharge on high-income households to improve the fairness of the tax system and to support health reform. The Senate bill includes an increase in the HI tax for high-income households for similar reasons, an increase of 0.9% on earnings above a specific threshold for a total employee assessment of 2.35% on these amounts. The President's Proposal adopts the Senate bill approach and adds a 2.9 percent assessment (equal to the combined employer and employee share of the existing HI tax) on income from interest, dividends, annuities, royalties and rents, other than such income which is derived in the ordinary course of a trade or business which is not a passive activity (e.g., income from active participation in S corporations) on taxpayers with respect to income above $200,000 for singles and $250,000 for married couples filing jointly. On December 14, 2009, Descartes announced that Dexxcartes had filed with the CBFA (the Belgian banking and finance supervisory authority) its intention to launch the offer. The cash offer price for outstanding warrants is EUR 12.33 per warrant issued pursuant to Porthus' April 21, 2000 warrant plan and EUR 20.76 per warrant issued pursuant to Porthus' November 7, 2001 warrant plan. As of December 11, 2009, Porthus had 2,348,790 outstanding shares and 23,759 warrants convertible into 71,277 additional shares. The amendment provides DURECT with final decision-making authority over clinical trials intended for the U.S. registration of POSIDUR and Nycomed with decision-making authority over clinical trials for the E.U. and other countries licensed to it. DURECT will have funding responsibility for all current and future clinical trials intended for U.S. registration of POSIDUR and, commencing April 1, 2010, Nycomed will have sole funding responsibility for all clinical trials intended for E.U. registration of OPTESIA (Nycomed's brand name for this drug candidate). For the second time, unblinded data have been reviewed by the independent DMC of the LibiGel Cardiovascular and Breast Cancer Safety Study.
