Item 8.01 Other Events.

On May 22, 2023, RenaissanceRe Holdings Ltd. (the "Company") issued a press
release announcing that it launched an offering (the "Launch Press Release") for
the offer and sale by the Company of 6,300,000 common shares, par value $1.00
per share, of the Company. The Launch Press Release is attached as Exhibit 99.1
to this Current Report on Form 8-K and is incorporated herein by reference.

As previously disclosed in the Current Report on Form 8-K filed by the Company
on May 22, 2023, the Company entered into a Stock Purchase Agreement (the "Stock
Purchase Agreement") to acquire certain direct and indirect subsidiaries of
American International Group Inc., including Validus Holdings, Ltd. and its
wholly-owned subsidiary, Validus Reinsurance Ltd. ("Validus Re"), and Validus
Specialty, LLC. The audited consolidated financial statements of Validus Re as
of December 31, 2022 and December 31, 2021 and for each of the two years in the
period ended December 31, 2022, are attached as Exhibit 99.2 to this Current
Report on Form 8-K and are incorporated herein by reference.
