STATEMENT OF WORK

I. GENERAL REQUIREMENT
The contractor shall furnish all labor, materials, parts, equipment, tools, transportation, supervision, and personnel to perform preventative maintenance (PM) and emergency repairs on the Spectra and two Optia systems used at the

3) Contractor shall provide proper documentation the Apheresis systems are running properly and communicate with MEDVAMC staff when the Apheresis systems are ready for use.
4) The contractor shall coordinate with MEDVAMC staff to ensure no impact to patient care during preventative maintenance.
II. ADDITIONAL SERVICES:
Contractor guarantees all equipment covered in this contract shall be in optimum working condition at the contract expiration date provided that the Contractor is notified of any deficiencies at least one (1) day before the contract expiration date. Any changes, updates or retrofits made on any component or system shall be reported to the COR for annotation on station equipment manuals and records. For any service call made during normal working hours, the Contractor's personnel shall report their arrival and departure to the COR in (Basement Level, RM# BA-200). Contractor shall provide any engineering and software update necessary for continued optimum operation of the equipment listed in this contract. The Contractor's personnel shall complete a full service report, in writing, after each service call (emergency or scheduled) and submit an electronic version of this report to the COR and any designees within 5 days after the service day.
III. PERFORMANCE AND RESPONSE TIME
1. The Contractor shall respond to service calls, within four (4) hours for telephonic response, and on-site within twenty-four (24) hours. This requirement for response time shall be the same for both services calls during the

All work performed shall be accomplished in accordance with manufacturer's instructions, including but not limited to adjustments, calibrations, cleaning, lubricating, testing, disassembly, check-out, replacement of worn or defective parts, etc., required to keep the equipment in first-class operating condition. All work shall be performed to the satisfaction of the COR who will inspect the repairman's work and indicate his/her approval on a signed statement prior to the contractor's personnel departure from the premises.

IV. OTHER WORK

All maintenance records shall be readily available anytime upon request for inspection by the Contracting Officer, COR or designee. VI. PROCEDURE FOR REPORTING OF ARRIVAL AND DEPARTURE FOR ONSITE WORK
The Contractor's representative shall report his arrival and departure for onsite work in accordance with the following procedure:

VII. UNIFORMS
The Contractor personnel, including supervisors, shall wear distinctive uniform clothing for ready identification, and assure that every employee is in uniform no later than the time specified by the COR, or otherwise no later than 10 working days from the date an employee first enters on duty. The uniform shall have the Contractor's name, easily identifiable, affixed thereon in a permanent manner such as a badge or monograms. If the contractor does not have a standard uniform, the employee shall be dressed in the appropriate professional attire and have a company issued badge visible at all times.

IX. REMOVAL OF EQUIPMENT:
Should a piece of equipment require repair at the Contractor's plant, the Contractor shall provide a loaner at no extra charge. Government property shall not be removed from the station without a signed

All new installed replacement parts shall become the property of the Government. Replaced parts shall be disposed of by the Contractor after obtaining approval from the COR. Contractor shall be responsible for disposing replaced parts in accordance with applicable federal, state, and local laws.
XI. SAFETY REQUIREMENTS:
In the performance of this contract, the Contractor shall take such safety precautions as the Contracting Officer, or his/her designee, may determine to be reasonably necessary to protect the lives and health of occupants of the building. The Contracting Officer or his/her designee will notify the Contractor of any noncompliance with the foregoing provisions and the action to be taken. The Contractor shall, after receipt of such notice, immediately correct the conditions to which attention has been directed. Such notice, when served on the Contractor or his representative at the site of work, shall be deemed sufficient for the purpose aforesaid. If the Contractor fails or refuses to comply promptly with such notice, the contracting Officer may issue an order stopping all or any part of the work and hold the Contractor in default.
XII. ORDERS:
All orders for service will be placed by the COR or his designees, and the Contractor's service representatives shall report to the COR or his designees prior to the commencement of work and after completing the services. Services to be rendered will be as directed by the COR, and any changes must receive concurrence of that.
XIII. OTHER REQUIREMENTS

c) UNAUTHORIZED USE OF GOVERNMENT EQUIPMENT
(1). The Contractor shall not allow his/her employees, including Subcontractors' employees, to open desk drawers, cabinets, or to use office equipment, including the use of non-pay telephones for any purpose other than a local emergency call.
(2). The Contractor shall be responsible to provide all necessary equipment, tools, parts, and materials to perform the work. The Government shall not be obligated to provide any equipment, tools, parts, and materials to assist the Contractor in performing the work.
XIV. WARRANTY
The Contractor shall warrant satisfactory equipment condition for repair and maintenance work outside the contract for a period of ninety (90) days immediately following completion of such work.
The Contractor shall warrant satisfactory equipment condition for covered systems for a period of ninety (90) days immediately following the contract expiration date.
Warranty service shall be limited to correcting items discovered to be in poor condition due to insufficient upkeep or failure to replace worn parts during the contract period. The Contractor shall correct these deficiencies upon notification by the Contracting Officer. This warranty shall remain valid while other parties perform service on the overall systems in question, provided the individual items requiring warranty service have not been obviously subjected to unnecessary, detrimental treatment by parties other than the Contractor (qualified service performed which is reasonable and necessary to uncover the deficiency shall not void warranty obligations of the Contractor). When directed to correct any such deficiency, the Contractor shall complete the required repairs with the same responsiveness stipulated in Section V, "Performance and Response Time".
XV. INVOICES & METHOD OF PAYMENTS
All invoices shall be submitted in arrears, properly prepared in accordance with FAR 52.212-4, contain sufficient details, and match with the service tickets for the work rendered.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. 4 52.212-2 EVALUATION-COMMERCIAL ITEMS (
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Technical:
1. Contractor shall submit technical and management approach to provide maintenance and repairs on the Spectra Cobe (S/N: 1S05028 EE#43549.) and two Spectra Optia's (S/N: 1P00459 EE# 133952 and 1P00460 EE# 133953).
2. Contractor shall submit documentation that they are approved, by the manufacturer, to provide maintenance services on the Spectra Cobe (S/N: 1S05028 EE#43549.) and two Spectra Optia's (S/N: 1P00459 EE# 133952 and 1P00460 EE# 133953).
3. Past Performance (within the past three (3) years):
(a) In this factor, the Government will evaluate the offer's demonstrating past performance of work of a similar nature, frequency, quality of performance and relevance to this procurement.
(b) Past Performance Surveys: The contractor shall send out the attached past performance surveys to each of their references. The Government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this solicitation. The references shall return the survey directly to the Government Contract Specialist listed on the survey via email.
(c) Offerors should follow-up and encourage references to return the questionnaires to the Contracting Officer in a timely manner.

Pass - Offeror has a minimum rating of acceptable for each factor. Any unknown rating is acceptable.

DELIVERABLES:
1. Technical and Management approach to provide maintenance and repairs.
2. Documentation verifying they are authorized, by the manufacturer, to provide maintenance and repairs.
3. Past Performance Questionnaire within the last three (3) years
Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
