TOWN Towne Bank announces acquisition of The Bank of Currituck (15.55 0.19)

Co announced that it has signed a purchase and assumption agreement to acquire all the deposit accounts of The Bank of Currituck and its six banking offices in northeastern North Carolina, including three banking offices on the Outer Banks. The transaction also involves the purchase of a substantial portion of the Moyock-headquartered bank's loan portfolio and all its other banking assets. The transaction is expected to provide TowneBank with ~$173 mln in assets, including approximately $96 mln in performing loans, and ~$173 mln in deposit accounts. In addition to its assumption of the deposit accounts and certain other liabilities, TowneBank has agreed to pay The Bank of Currituck $10 mln in cash, subject to certain adjustments.

Co announced it has acquired Valbart Srl, a privately owned Italian manufacturer of trunnion-mounted ball valves (TMBV) used primarily in the oil and gas industry. Valbart was acquired in a cash transaction valued at ~$200 mln, which value includes ~$32 mln of existing Valbart net debt that was repaid at closing. Flowserve funded the transaction proceeds with cash on hand. The other terms of the acquisition have not been disclosed. The Valbart acquisition is expected to have a slightly dilutive impact on Flowserve's 2010 earnings per share due to non-cash purchase price accounting effects from inventory revaluation, partially offset by expected favorable operations impact. TCK Teck provides additional update on Greenhills incident (32 -0.52)

Co reported that work continues at the Greenhills mine's coal dryer building. The investigation into the cause of the accident that occurred on June 28 continues with review of the data and evidence although no conclusion has been reached yet. The building has now been made safe for entry, and the mechanical inspection of the building has concluded that most of the exhaust side of the dryer system will need to be replaced. An engineering firm has been contracted and is on site as project manager for the rebuild, and they are currently establishing a scope of work and timeline for the rebuild. The current plan is to activate the bypass system around the dryer which will allow the company to produce and ship wet coal for blending with dry coal from other mines. Power is currently being established to the bypass system so the mechanical integrity and operational control of this system can be determined.
