TTO Tortoise Capital announces sale of Timberline Energy (6.51 -0.05)
Co announces that its portfolio company, Mowood, has entered into a definitive agreement to sell its wholly owned subsidiary Timberline Energy to Landfill Energy Systems. Timberline is an owner and developer of projects that convert landfill gas to energy. According to terms of the transaction, which is expected to close within 60 days, Mowood will transfer Timberline's operating and development projects to LES. Interest in one development project is expected to be transferred to Timberline management. After paying off its indebtedness, paying management incentives and reserving for continued liabilities, Mowood is expected to distribute substantially all of the remaining proceeds to TTO. At close TTO is expected to receive proceeds of between $9.0 and $9.3 mln depending on closing adjustments. Over the next two years TTO could receive additional proceeds of up to $3.7 mln based on the contingent and escrow terms contained in the agreement. The transaction and TTO's proceeds are subject to the terms and conditions of the purchase and sale agreement which include customary indemnification obligations. TTO intends to use the proceeds of the transaction to payoff its $4.6 mln of bank debt leaving the remainder available to invest according to stated investment policies.

FTK Flotek Industries provides year-end operational update (1.34 +0.07)
Co expects chemical sales to be approximately flat with the third quarter, meeting expectations. While visibility remains short, the Company would expect flat to modestly higher sales in the first quarter followed by slow but steady sales growth for the balance of 2010. While Flotek's downhole tool division benefits from an increase in the overall rig count (up approximately 10% from the end of the third quarter), an oversupplied tools market continues to create significant competition and pricing pressure. Artificial lift activity continues the same subdued pace from the third quarter, a result of continued weak natural gas prices in the Rockies. The Company continues to believe the artificial lift business will improve when Powder River Basin Coal Bed Methane operators are confident of a sustained natural gas price recovery. "We do not expect meaningful growth in this business until mid-2010. Weather and holidays also impact this business line." However, Flotek continues to expect results approximately in-line with third quarter performance.

Co announced that it has entered into a short term forbearance agreement with its lender through January 15, 2010. As of December 31, 2009, co would have been in default of certain financial covenants under its credit agreement with its lender, including the requirement to raise $3 million in equity by December 31, 2009. Co entered into a short-term forbearance agreement with its lender, whereby the lender has agreed to not exercise remedies with respect to any default of the financial covenants as currently in effect under the credit agreement until and through January 15, 2010. In addition, the lender has agreed to accept a reduced monthly principal payment from the Company under the credit agreement in the amount of $150,000 (reduced from $287,000) for the month of January 2010. This short-term forbearance is contingent upon no additional events of default occurring under the credit agreement. The parties have agreed that they will continue to negotiate the terms of a longer forbearance period.

Rates for Dominion Virginia Power customers will be reduced on Jan. 1, 2010, in accordance with changes approved by the Virginia State Corporation Commission (SCC). For the typical residential customer who uses 1,000 kilowatt-hours of electricity, the net result is a decrease in the monthly electric bill of 87 cents, or 0.8 percent, from $109.23 to $108.36.

F.A.B. provides hyaluronic acid-based products in several therapeutic areas including for the regeneration of connective and structural tissues damaged by injuries, aging or degenerative diseases. The company also announces that it will develop its own direct U.S. sales capability to capture significantly higher margins from the domestic sales of MONOVISC, its single-injection osteoarthritis treatment. Direct commercialization activities will also include the portfolio of F.A.B. orthopedic products once approvals are achieved in the United States. Under the terms of the sale and purchase agreement, Anika purchased F.A.B. in exchange for $17.1 mln in cash and 1,981,192 shares of its common stock. F.A.B. recorded product revenue of approximately $11.1 mln in the 12 months ended Sept 30, 2009. Anika anticipates that the acquisition will be accretive to earnings in the second year of combined operations.

Co announced that the government of the Republic of Guinea has received the Company's relinquishment plan of 64% of its original offshore oil and gas contract area and its 2010-2011 work plan for the 36% it has selected to retain and explore. The acreage selection was part of the September 2009 Memorandum of Understanding between Hyperdynamics and the government of Guinea, which enables Hyperdynamics to retain approximately 11,160 square miles of its original contract area for oil and gas exploration. The government now has the right to auction the remaining 64% to other companies, but Hyperdynamics has the right of first refusal on that acreage as well. The relinquishment and the two-year work plan were received Wednesday, December 30 by Aboubacar Koly Kourouma, Vice Minister and General Secretary of the Ministry of Mines, Energy and Hydraulique.

Co announces that it was successful with its previously announced debt-for-equity exchange offers having received tenders for approximately $470 mln in par value, representing approximately 88% of the company's outstanding notes, including $105 mln, or 70%, of its 8 1/2% Notes, $217 mln of its 5.0% Notes, and $148 mln of its 3.375% Notes, representing 94% of aggregate total of the 5.0% and 3.375% Notes. As of Dec 31, 2009, the company had not used any portion of the revolver reserves. The company expects to defer additional lender interest and fees of $20 to $25 mln per quarter during 2010 depending upon its usage level of the credit agreement and asset-backed securitization facility.

Co announced that its Pennsylvania subsidiary, Aqua Pennsylvania, has acquired the assets of the Athens Township Authority in Bradford County, which will enable Aqua to complete a public-private partnership that will include ~$1 million of additional transmission main being contributed by the local economic development agency, the potential for additional customers outside of those already served by the Authority, the revenues from a bulk water sales contract to a new distribution center being built across the state border in New York, and a 20-year professional services agreement. The little glow prices got off the back of the impressive 7-yr auction, the year's last (yeah, redundant), has faded and the market is pushing lower. The weight of supply will continue to drag on prices into the new year. The day will be frighteningly thin and the swings potentially whippy. The curve has been sneaking steeper, but should resume the flatter slant with the 2-10-yr yield spread running 272. The dollar was knocked back in corrective action with the index back to 77.40. The day's data offer initial jobless claims (8:30)

IDN Intelli-Check Inc CEO highlights products use in airports during TheStreet.com interview (2.39 )
CEO of Intellicheck Mobilisa was featured on TheStreet.com in an interview called "Airlines Checking Out Intellicheck." CEO pointed out that the military already uses it to protect Andrews Air Force Base, home of Air Force One, and West Point. With regard to airports, Dr. Ludlow points out that people already have to present an ID along with their boarding passes to embark. "Do something useful, actually scan the ID and check if you're on a bad guy list, and we can do a much better job." He also points out, rather than checking against a single list, Intellicheck Mobilisa's scanner currently uses 140 different lists, and can handle up to 1,000 lists. The December 25 bomber was on a couple of lists but not on the "right" one. By matching against 140 lists, security actions become much more effective.

HOKU HOKU Scientific announces amendment to contract with Alex New Energy; companies have agreed to delay the first shipment of polysilicon by Hoku to Alex from Q1 to Q3 (2.70 )
Co and Shanghai Alex New Energy Co, a manufacturer of crystalline silicon solar cells, modules and photovoltaic (PV) products in China, today announced the amendment of the polysilicon supply agreement in effect between the two companies. According to the terms of the amendment, both companies have agreed to delay the first shipment of polysilicon by Hoku to Alex from the first quarter to the third quarter of calendar year 2010. The other commercial terms of the supply agreement remain unchanged, including pricing, contract duration, and shipment volumes, among others. "Hoku was prepared to ship third-party product in accordance with our contract, but the updated schedule more closely matches Alex's revised supply chain forecasts while still conforming nicely to our projected production ramp" Subsequent to the recent closing of its financing with Tianwei New Energy, Hoku reported it was now preparing for a reactor test demonstration in the first quarter of calendar year 2010, followed by a phased ramp-up to a planned initial production capacity of approximately 2,500 metric tons of polysilicon per year. The Company noted that the reactor test demonstration was pushed back slightly due to the timing of the close of the transaction with Tianwei... Hoku reported that it expected to continue adding reactor capacity throughout calendar 2010 until reaching the plant's full annual production capacity of 4,000 metric tons in the second half of the year. Hoku also said that it planned to bring its on-site TCS production facility online by the end of calendar 2010, which would eliminate the co's need to procure third-party process chemicals.

Co signed conversion agreements with the holders of its convertible notes issued on June 19, 2009. Pursuant to the Conversion Agreements, co and each of the noteholders have agreed, among other things, to convert the aggregate principal amount and accrued interest of $37,537,500 outstanding under the convertible notes, together with make-whole amounts, into an aggregate of 4,582,559 common shares of the Company using a conversion price per share set at $10.212, which is 96% of the original conversion price of the convertible notes of $10.637. Common shares of the Company issuable upon conversion of the Notes are freely tradable by the noteholders. Each of the noteholders has entered into a Confirmation Letter with the Company confirming certain procedural and other aspects of the transaction.

Co announced that it had executed agreements with GE Aviation Systems LLC and The Boeing Company resolving its claims relating to the brake control monitoring system for the Boeing 787. Under the agreements, CR's supply contract will now be direct to Boeing, and CR will resume work, on a funded basis, on a modified version of the brake control monitoring system. CR will receive payments aggregating $18.9 mln in early 2010 associated with its claims. In conjunction with this agreement, CR will record an EPS benefit of ~$0.18 per share in Q4 of 2009. This benefit was not included in the co's earnings guidance issued on October 26, 2009, of GAAP EPS for the full year 2009 of $1.90-$2.05. Co announced that the Company has acquired OT-730, a prodrug of a beta adrenergic antagonist (a type of beta blocker) under investigation for the treatment of glaucoma, from privately-held Othera Pharmaceuticals, Inc. for a one-time payment of US$7.5 million in cash. In a Phase I/II study conducted by Othera, OT-730 was demonstrated to be safe and well tolerated in glaucoma patients who have been topically administered with an eye drop formulation. Additionally, the results of that study suggested that OT-730 may have comparable efficacy to timolol, but without the cardiovascular side-effects often associated with that drug. QLT is hopeful that further clinical trials will demonstrate that OT-730 can ultimately find its place in what is currently estimated to be a billion dollar world-wide market for beta blockers

The long end was able to take some gains out on the session, but the thin holiday trade leaves moves suspect. The bonds were able to pull back some ground following the day's impressive 7-yr auction, but the market remains near the worst levels since August and may remain under pressure into the start of the new year with record levels of global supply weighing. The scramble to get into the 7-yr aided the market as the run lowered the yield paid to 3.345% from the anticipated average expectation of 3.365%. As WSJ noted, the increase indirect bidders took some pressure off the offering as the proportion of "auctions going to direct bidders has risen notably in recent months, probably in part because of a change in June to how bids were tallied." That fact makes the new indirect bidder rate calculation somewhat suspicious to some players and not as pretty as it appeared at first blush, with the 44.7% take compared to the average back to June of 62.4%, but we'll take it. The day ahead should be a real snoozer, with the early data being important, but likely shrugged off, assuming its generally inline. On the flipside, if it improves/worsens drastically, price swings will respond crazily. The 10-yr, which has seen a run up of 70 basis points since late November should be bound by 3.725% and 3.81%. The curve worked flatter on the day, near levels seen mid-month, and should remain on that track, with the 2-10-yr yield spread holding near 270.5. The dollar was backed off of an over 3 month high on the yen, and has stalled out near 92.50. The index failed near the month's highs, and got caught near 77.90, but should resume a move higher as the domestic rate picture skews toward eventual hikes. The euro was able to bounce off the 1.4270 point to spend the session around 1.4330, but should see continued pressure as the region will likely lag in removing accommodation. Thursday, perhaps the year's longest Thursday with trade radically thinned, offers initial jobless claims, which, while expected to continue to show flat to a slight improvement, may just be ignored.

QUIX Trinity Corp to acquire Quixote Corporation for $6.38/share (2.95 +0.10)
Trinity Industries (TRN) and Quixote Corporation (QUIX) announced that they have reached a definitive agreement for Trinity to acquire the outstanding common shares and equivalents of Quixote for cash of $6.38 per share, or ~$61 million. Trinity will fund the acquisition from available cash on hand, which totaled $545 million at September 30, 2009. The acquisition will be accomplished through a tender offer for Quixote's common shares by a wholly-owned subsidiary of Trinity, THP Merger, and is expected to close in the first quarter of 2010. The tender offer is conditioned on the successful tender of at least 60% of Quixote's total outstanding shares of common stock calculated on a fully diluted basis, as well as the satisfaction of other customary closing conditions. The transaction has been unanimously approved by Quixote's Board of Directors. (QUIX is currently halted)

At December 31, 2008, allowance for loan losses totaled $38.2 mln or 2.2% of total loans. Considering the results of the review and the current expectations for commercial real estate valuations, co migrated a number of previously impaired credits to nonaccrual status and accordingly anticipates reporting higher levels of nonperforming assets of ~$64 mln as of year-end 2009.
