Advisors await SEC decision on Vanguard fair fund distribution
The Securities and Exchange Commission has delayed a decision on how money recovered in its case against Vanguard will be distributed to affected investors, extending the review process until Feb. 26, 2027.
SEC staff said additional time is needed to evaluate public comments received on the proposed distribution plan.
This delay marks the latest development in the case against Vanguard, which centers on changes to the firm's target-date retirement funds that allegedly resulted in sudden capital gains taxes for many investors. As part of a settlement, Vanguard agreed to establish a Fair Fund to compensate those impacted by the fund changes.
The Fair Fund was created through Vanguard's January 2025 settlement with the SEC. The firm agreed to pay over $106 million to settle allegations arising from those fund changes, without admitting or denying the regulator's allegations.
According to the SEC, the issue began when Vanguard lowered the minimum investment requirement for its Institutional Target Retirement Funds in 2020. This change caused many investors to shift from the firm's Investor Target Retirement Funds into lower-cost institutional versions.
Regulators stated that the resulting redemptions led to unusually large capital gains distributions, which increased tax burdens for some investors remaining in the funds.
In June 2026, the SEC proposed a plan outlining the distribution of funds from the Fair Fund to those impacted. The proposal was open for public comment until July 29, 2026, and the SEC received four comments raising various concerns.
As noted in the order, the Division of Enforcement requested additional time to review the comments and prepare a recommendation. The SEC extended the deadline for approval or rejection of the proposal until Feb. 26, 2027.
