Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment
of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 4, 2022, the Board of Directors (the "Board") of MetLife, Inc. (the
"Company") increased the number of directors serving on the Board from twelve to
thirteen and elected Carla Harris a director of the Company, effective April 27,
2022. The Board also affirmatively determined that Ms. Harris qualifies as an
independent director under the Corporate Governance Standards of the New York
Stock Exchange and Rule 10A-3 under the Securities Exchange Act of 1934, as
amended. The Board has not yet appointed Ms. Harris to its committees. MetLife,
Inc. will disclose any subsequent committee appointment in an amendment to this
Form 8-K.
Ms. Harris will participate in the Company's standard non-management director
compensation arrangements. The Company pays non-management directors a retainer
of $300,000 per year, 50% in shares of the Company's common stock and 50% in
cash. Directors earn a pro-rated retainer for partial-year service, earning the
first of four annual installments at the beginning of service.
