Choate, Hall & Stewart Represents Windjammer’s Maxcess in Sale to Bertram Capital

Choate, Hall & Stewart announced it recently represented Maxcess International, a portfolio company of Windjammer Capital Investors and Merifin Capital, in its sale to Bertram Capital.

In a release, the Firm said Maxcess, an Oklahoma-based global provider of automation instrumentation solutions and systems utilized in complex continuous web-fed converting lines, will be combined with Bertram's portfolio company Webex, Inc.

"Maxcess was one of the final companies remaining in Windjammer's Fund II portfolio and we were delighted to play a role in the successful sale of this business," said Christian Atwood, the partner at Choate, Hall & Stewart who led the deal for Maxcess. "This deal was a win for everyone involved."

Maxcess is a prime example of Windjammer's focus on investing in niche businesses that can be improved with a strong management collaboration and a well-planned and properly executed improvement plan. The Maxcess sale is the fourth deal that Choate has closed for Windjammer or one of its portfolio companies in the past six months.

In December 2013, Choate represented Windjammer in its acquisition of Engineered Controls International, a North Carolina- based global provider of mission critical, highly engineered flow control products used in the transportation, delivery, and storage of liquefied petroleum gas, liquefied natural gas, and industrial gases.

In October 2013, Choate handled the add-on acquisition of Texas- based Tri-Star Protector Company for portfolio company Protective Industries, Inc. In July 2013, Choate supported Windjammer's acquisition of Component Hardware Group, Inc. a New Jersey-based supplier of hardware components and plumbing products to the foodservice equipment industry. The Component Hardware deal was the first acquisition for Windjammer's most recent fund, which closed in early 2013 with more than $726 million in capital commitments.

Choate recently received The M&A Advisor's 2013 "Financial Services Deal of the Year" (over $200 million) award. Choate is ranked nationally as a Tier 1 firm in Middle-Market M&A by The 2013 Legal 500 and among the "Most Active Law Firms" based on number of private equity and venture capital deals negotiated and closed in 2012 by Private Equity Analyst.

Choate's areas of focus include corporate/M&A, private equity, finance and restructuring, high-stakes litigation, life sciences, technology companies and intellectual property, insurance/ reinsurance, government enforcement and compliance, and wealth management.
