FPL Group Capital announced the sale on Aug. 26, 2010, of $400 mln in principal amount debentures. The debentures bear interest at 2.60 percent per year and will mature Sept. 1, 2015. The debentures will be guaranteed by FPL Group Capital's parent company, NextEra Energy (NEE).

Co announced that it has entered into an agreement to amend the lease on its Baltimore production facility. Pursuant to the agreement the Company made a cash payment of $290,000 and also issued 300,000 shares of restricted common stock, to the landlord. In consideration of the payment, the landlord agreed to forfeit past due amounts under the lease agreement, terminate and forfeit minimum payments due for terminaling services under a separate agreement, and reduce the monthly lease rate to $25,000 for the remaining lease term of three years. Included in the $290,000 payment is $100,000 representing the August reduced lease payment and prepayment of the monthly $25,000 rent for the months of September through November 2010. As a result of the lease amendment the Company recorded a gain of approximately $800,000 and reduced our future obligations by approximately $2.9 million. Additional key cash conservation points: Quarterly Cash burn reduced to less than $700,000 excluding cost of sales. co stated "We expect our cash burn to increase after we have reached an appropriate level of revenue, but at a lower increase rate than revenues."

TSO Tesoro announced that it has agreed to acquire ~300 Shell-branded wholesale supply contracts in North Dakota, South Dakota, Minnesota, Utah and most of Idaho (11.56 +0.65)

HP (HPQ) announced that it has increased its proposal to acquire all of the outstanding shares of PAR to $30 per share in cash, or an enterprise value of $2.0 billion. HP's proposal is not subject to any financing contingency and has been approved by HP's board of directors. Consistent with its previous rationale for the acquisition, Dell also believes that its global brand and broad global reach will dramatically accelerate 3PAR's revenue growth. The cash tender offer, through a wholly-owned Dell subsidiary, is for all outstanding shares of 3PAR common stock, without interest, and subject to reduction for any federal back-up withholding or other taxes. The offer documents will be amended to reflect the new offer price, but this will not alter the timing of the acquisition. Unless extended, the tender offer and any withdrawal rights to which 3PAR stockholders may be entitled will expire at midnight, EDT, on 9/20/2010. Based on current estimates, the transaction is expected to be accretive to Dell 's non-GAAP earnings in its Fiscal Year 2012.

CALM Cal-Maine Foods Clarifies Previous Statement on Nationwide Shell Egg Recall (31.01 -0.49)

Co issued the following clarification regarding the previously announced voluntary recall of shell eggs supplied from Hillandale Farms of Iowa. This information does not increase the total number of eggs which Cal-Maine purchased from Hillandale Farms, which was previously announced on August 20, 2010. Cal-Maine immediately contacted its customers to ensure that any eggs included in the recall were withdrawn from the marketplace. Cal-Maine has voluntarily recalled specific Julian dates of shell eggs purchased on May 31, 2010, from Hillandale Farms of Iowa and re-packaged by Cal-Maine's Benton County, Arkansas, facility, because they have the potential to be contaminated with Salmonella. Potentially affected eggs that were received by Cal-Maine at this facility total approximately 24,000 dozen. The affected eggs were distributed to food wholesalers and retailers in Oklahoma and Arkansas. Cal-Maine's Benton County, Arkansas, facility received these eggs from Hillandale Farms of Iowa, which were then re-packaged into large loose 5, 15 and 30 dozen units.
