SEC Charges Advisory Firm with Falsifying Reports Filed with the Agency

The Securities and Exchange Commission today announced charges against purported investment advisor Ichcoin Tech Corp. for allegedly making false statements in its filings with the SEC regarding its eligibility to be an exempt reporting adviser ("ERA") as well as its purported office location and other relevant identifying information.

The SEC's complaint, filed in the United States District Court for the Northern District of New York, alleges that Ichcoin made false statements in its Form ADV filed with the SEC on January 25, 2024. According to the SEC's complaint, while ERAs are exempt from registration, they are still required to file a Form ADV to report relevant information to the SEC about their advisory business. As alleged, Ichcoin claimed in its Form ADV to be eligible for ERA status; to be conducting business at an office in Albany, N.Y. with a Colorado telephone number; and to have been assigned an identification code in the Central Registration Depository ("CRD") of securities industry professionals maintained by the Financial Industry Regulatory Agency ("FINRA"), whereas, in reality, Ichcoin was ineligible to report to the Commission as an ERA, it did not have an office at that Albany address, the Colorado telephone number did not connect a caller to anyone at Ichcoin, and the CRD number in the Form ADV belongs to an 87-year-old individual with no identifiable connection to Ichcoin. The complaint also alleges that Ichcoin failed to respond to requests by the Commission staff to provide records to substantiate the information in the Form ADV.

The complaint charges Ichcoin with violating Sections 204(a) and 207 of the Investment Advisers Act of 1940 and seeks a permanent injunction against future violations of the charged provisions, a conduct-based injunction enjoining Ichcoin and individuals acting on its behalf from filing a Form ADV with the Commission as an ERA, and a civil monetary penalty.

The SEC's investigation was conducted by Peter Altenbach and George N. Stepaniuk and was supervised by Thomas P. Smith, Jr. The litigation will be led by Paul G. Gizzi and supervised by Christopher Colorado, all of the SEC's New York Regional Office.
