AEM Agnico-Eagle to acquire Comaplex's Meliadine gold property (57.57 +1.90)
Co and Comaplex Minerals Corp. ("Comaplex") jointly announced that they have reached an agreement in principle whereby Agnico-Eagle will acquire all of the shares of Comaplex that it does not already own. Under the terms of the transaction, each shareholder of Comaplex will receive 0.1576 of an Agnico-Eagle share per Comaplex share. Additionally, at closing, each Comaplex shareholder other than Agnico-Eagle and Perfora Investments S.a.r.l. ("Perfora") will receive one common share of a newly formed, wholly-owned, subsidiary of Comaplex ("New Comaplex") in respect of each Comaplex share. The total value of the consideration received by Comaplex shareholders, other than Agnico-Eagle and Perfora, is estimated to be C$10.32 per Comaplex share (as described below), which represents a premium of approximately 34% to the 20-day volume weighted average price of Comaplex shares on the Toronto Stock Exchange on March 31, 2010.

Though the loan's outstanding principal balance is $9,640,917, the amended settlement agreement extends First National's ability to pay a discounted sum of $3,500,000 plus accumulated 2010 interest in full satisfaction of the loan. First National is in full compliance with all the provisions of the loan agreement with Nexity. Both banks now await final regulatory approval of their amended settlement agreement. Pursuant to the terms of the amended agreement, First National paid Nexity $147,827 on March 26, 2010, to satisfy interest for the quarter ended December 31, 2009.

The co learned from media reports this week that WestJet apparently intends to enter into a codeshare agreement with Delta Air Lines. At about the same time, Southwest learned of a deal by which Delta would transfer slots at LaGuardia Airport in New York to WestJet. A codeshare between WestJet and Delta, as indicated in media reports, could be inconsistent with the agreement presently in place between Southwest and WestJet. "The Southwest/WestJet project was on target in accordance with a mutually agreed upon timetable," said Bob Jordan, Southwest's Executive Vice President of Strategy and Planning. "However, WestJet in recent weeks requested material and significant changes to our agreement that we could not accept. We are, and always have been, prepared to move forward to implement our agreement with WestJet. We have not yet been notified of WestJet's intent to terminate that agreement. If we are so notified in order for WestJet to consummate its deal with Delta, Southwest remains very interested in offering our loyal Customers service to Canada via the most efficient means possible."

USEG U.S. Energy announces initial production rate of approx 2,652 BOE/D from the Jack Erickson 6-31 #1H well (6.17 +0.21)
Co announces the initial production rate from its Jack Erickson 6-31 #1H well which was recently completed with Brigham Exploration (BEXP). The Jack Erickson 6-31 #1H well, which is operated by Brigham, produced approx 2,323 barrels of oil and 1.98 MMCF of natural gas per day or 2,652 BOE/D during an early 24-hour flow back period. The well was completed with swell packers and 30 fracture stimulation stages. U.S. Energy's initial working interest in this well is approx 21%. Oil sales from this well have commenced, and gas sales are expected to commence within 30 days. The Jack Erickson 6-31 #1H well is the ninth well completed under the Drilling Participation Agreement with Brigham. The Sedlacek Trust 33-4 #1H well, the tenth well to be drilled under the DPA with Brigham, was spud mid-March, 2010 and is currently drilling forward in the horizontal portion of the well. U.S. Energy's initial working interest in this well is approx 44%. As with the previously drilled wells in the program, this well is targeting the middle Bakken formation, and is planned to be drilled to a total measured depth of approx 20,000 feet.

To date, Brigham has completed 18 long lateral high frac stage wells at an average early 24 hour peak flow back rate of 2,491 barrels of equivalent per day. Brigham also provided an operational update. Brigham announced the completion of its operated Sorenson Bakken well at an early 24 hour peak flow back rate of 3,511 barrels of oil equivalent per day. Brigham maintains an approximate 95% working interest in the Sorenson, which was completed with 27 frac stages. Brigham has completed five long lateral high frac stage wells in Ross with an average early 24 hour peak flow back rate of approximately 2,656 barrels of oil equivalent per day. Brigham also announced the completion of its operated Jack Erickson Bakken well in its Rough Rider project area in Williams County, North Dakota at an early 24 hour peak flow back rate of 2,652 barrels of oil equivalent per day. Brigham maintains a 21% working interest in the Jack Erickson, which was completed with 30 frac stages. Brigham has completed 13 consecutive long lateral high frac stage Bakken wells in Rough Rider with an average early 24 hour peak flow back rate of approximately 2,428 barrels of oil equivalent per day.

American Honda year-to-date sales of 256,412 represent an increase of 12.5 percent based on the daily selling rate. Honda Division posted March sales of 96,540, an increase of 16.9 percent versus March 2009, and was led by total car sales of 55,341, up 7.8 percent. Accord sales increased 23.2 percent to 29,120, and Civic sales increased 4.6 percent to 22,463.

Co reported March sales results of 186,863 units, an increase of 35.3 percent over the same period last year, on a daily selling rate (DSR) basis. On a raw volume basis, unadjusted for 26 selling days in March 2010, compared to 25 selling days in March 2009, TMS sales were up 40.7 percent for the month, compared to the same period last year. For the first quarter, TM reported sales of 385,686 vehicles, an increase of 8.7 percent over the same period in 2009, on a DSR basis. With 74 selling days in the first quarter of 2010, compared to 75 selling day in the first quarter of 2009, sales were up 7.2 percent on an unadjusted raw volume basis. Lexus reported passenger car sales of 10,060 units in March, up 34.1 percent over the year-ago month. Lexus passenger car sales were led by the recently revised ES 350 entry luxury sedan which posted sales of 3,860 units, up 15.1 percent over the same time last year. The IS luxury sports sedan reported combined sales of 3,137 units, up 24 percent over March 2009. The HS 250h luxury hybrid sedan recorded March sales of 1,494 units. Lexus light trucks recorded sales of 10,159 units, up 39 percent over last March. Lexus sales were led by the RX, which posted combined March sales of 8,060 units, up 25.5 percent over the year-ago month. The all-new GX mid-size luxury utility vehicle reported sales of 1,785 units.

Co announced that the U.S. District Court for the Southern District of Indiana issued a decision yesterday on two patents for Gemzar; the compound patent expiring on November 15, 2010, and a method of use patent expiring on May 7, 2013. As to the method of use patent, the Court denied Lilly's (LLY) request for an injunction on the grounds that the Eastern District of Michigan had previously found that patent invalid. Lilly has appealed that decision and oral argument is scheduled for May 7, 2010. Teva believes it is first-to-file on that patent and thus will be able to launch a generic version of Gemzar with 180-days Hatch Waxman exclusivity when the compound patent (which the Court found valid) expires or is held invalid on appeal.

TIF Tiffany & Co confirms court decision that allows eBay "to continue to sell counterfeit TIFFANY products"; co will consider an appeal to the U.S. Supreme Court (48.28 +0.79)
Co "criticized the decision by the U.S. Court of Appeals for the Second Circuit that allows eBay (EBAY) to continue to sell counterfeit TIFFANY products on its website. While the decision leaves room to establish Tiffany's claims for false advertising, it leaves in place a prior ruling which allows eBay to profit from counterfeit sales. This decision will not help innocent consumers who are being victimized by illegal e-commerce practices.... eBay knew that counterfeit merchandise was being sold on its site - and eBay took no effective steps to stop it. eBay deliberately misled consumers for profit, and unfortunately, the court has justified its actions. LPNT Lifepoint Hospitals to acquire Clark Regional Medical center (37.25 +0.42) -Update-
Co announces it had entered into an agreement with the Board of Directors of Clark Regional Medical Center whereby 100-bed Clark Regional Medical Center, located in Winchester, Kentucky, would become part of LifePoint Hospitals. The hospital is fully accredited by the Healthcare Facilities Accreditation Program. The transaction is expected to close April 30, 2010, subject to customary closing conditions. Terms of the agreement were not disclosed. Upon closing of the transaction, LifePoint will acquire ownership of CRMC operations and equipment and commit to invest approx $60 mln to build and equip a new, 132,000-square-foot, state-of-the-art hospital to replace the current hospital facility. The new hospital is expected to open in approximately 18 to 24 months after construction begins.

Co announced today that APP and other Fresenius Kabi companies have entered into license and settlement agreements with sanofi-aventis covering patents that apply to Eloxatin(R) (oxaliplatin injection and oxaliplatin for injection). The agreements with sanofi-aventis (SNY) resolve a patent infringement lawsuit, which was pending in the United States District Court for the District of New Jersey. In 2007, APP and Fresenius Kabi filed ANDAs seeking approval to market generic oxaliplatin products. In response to these filings, sanofi-aventis filed lawsuits against APP and Fresenius Kabi alleging that the proposed products would infringe certain patents of sanofi-aventis expiring 2017. Under the terms of the agreements, APP and Fresenius Kabi are granted a license to market their generic versions of oxaliplatin, 50 mg/vial, 100 mg/vial and 5mg/mL, 10 mL and 20 mL vials, beginning no later than August 9, 2012.

TEVA Teva Pharm receives favorable court decision regarding Seasonique (63.52 +0.44) -Update-
Co announced that the U.S. District Court for the District of Nevada has granted Teva's Motion for Summary Judgment with respect to the validity of U.S. Patent No. 7,320,969. In March 2008, Duramed, now Teva Women's Health, brought suit in the District of Nevada against Watson alleging infringement of Teva's patent as a result of Watson's filing of an Abbreviated New Drug Application (ANDA) for Seasonique. The ANDA sought approval to market a generic version of Seasonique in the U.S. before the patent expires on January 30, 2024. Teva's motion sought judgment on the remaining liability issue in the case, as Watson had previously conceded infringement of Teva's patent. Since the Court granted Teva's motion in its entirety, trial is unnecessary. Separate litigation is pending in the United States District Court for the District of New Jersey with respect to Mylan/Famy Care's and Lupin's ANDAs for Seasonique. Teva is currently analyzing the impact of this decision on those cases.

AUY Yamana Gold reaffirms annual 2010 production guidance (10.07 +0.22)
Co has previously noted that production would sequentially increase, and cash costs would sequentially decrease, q/q throughout the year. In Q1 of 2010, gold equivalent production is expected to be ~240,000 GEO and cash costs are expected to be below $200 per GEO on a by-product basis. This is consistent with internal forecasts. Minera Florida produced less than anticipated due to the earthquake which occurred on February 27 and is now fully operational. Yamana has also guided that copper production is expected to be 150-160 million pounds in 2010 and, similar to the case for gold production, Yamana expects production to increase q/q throughout the year. Copper production in the first quarter of 2010 is expected to be 29 to 30 million pounds. Yamana provides guidance on certain of its projected operating parameters including production levels and cash costs. The Company is not in the position to endorse consensus estimates with the respect to earnings and cash flow per share as it has no way to accurately monitor the underlying assumptions and projections going into these calculations.

The yen played a part after it hit a three-month low against the dollar. Dai-ichi Life Insurance made a strong debut and a Bank of Japan survey showed that Japanese business morale improved in March. In Hong Kong, the Hang Seng advanced 1.4%. News that Beijing will maintain loose monetary policy helped. In mainland China, the Shanghai Composite closed 1.2% higher. Co confirmed that it has been notified of an action filed against the co by the New York Attorney General. As the Company has previously disclosed, the Office of the Attorney General of the State of New York had requested that the co consider discontinuing its unilateral retail price policy in the State of New York, and informed the Company that it may bring an enforcement action against the co under New York law if the co chose not to do so. On March 29, 2010, the Office of the Attorney General filed suit in New York state court against the co with respect to this matter. Chief Executive Officer Mark Sarvary commented, "We are disappointed with the New York Attorney General's action earlier this week. It was preceded by a lengthy antitrust investigation in which the Company cooperated fully." In his complaint, the Attorney General does not charge Tempur-Pedic with any violation of state or federal antitrust law; instead he claims the Company violated a 1975 New York state law which declares certain contractual provisions to be unenforceable. Mr. Sarvary added, "We believe the Attorney General's claim that Tempur-Pedic violated state law is simply wrong, and we intend to defend the case vigorously."

The co announces positive, preliminary, top-line results from its Phase 2b monotherapy study of RDEA594, its lead product candidate for the treatment of hyperuricemia and gout. In this 28-day, randomized, double-blind, placebo-controlled, dose-escalation study, 123 gout patients with hyperuricemia (serum urate levels greater than or equal to 8 mg/dL) received 200 mg once-daily (qd) RDEA594, 400 mg qd RDEA594, 600 mg qd RDEA594 or matching placebo. For patients receiving 400 mg qd RDEA594 and 600 mg qd RDEA594, their dose was titrated up weekly in increments of 200 mg/day. This study specifically enrolled patients who excrete less than normal amounts of uric acid at baseline (under-excretors of uric acid make up approximately 90% of all gout patients). All patients received colchicine for prophylaxis against flares. The primary endpoint of the study was a significant increase in the proportion of patients who achieved a response, defined as a reduction of serum urate to < 6 mg/dL after 4 weeks of treatment, compared to placebo. The primary endpoint was achieved in this study. Reductions in serum urate and response rates increased in a dose-related manner and were highly clinically and statistically significant at both the 400 mg qd and 600 mg qd dose levels. At the highest dose, there was a 38% median reduction in serum urate levels after 4 weeks compared to a 1% increase on placebo (p < 0.0001). This translated into a response rate of 45%, compared to 0% for placebo (p < 0.0001).
